Terms and Conditions

Acceptance of Terms

By accepting an estimate, submitting a Purchase Order (PO), agreeing to make payment, or making payment in response to this quote, the Customer acknowledges and agrees to be bound by the terms and conditions set forth herein. A 2.99% processing fee will be applied to all credit card transactions. By accepting this estimate, issuing a PO, or making payment via credit card, the Customer acknowledges and agrees to this charge.

Pricing and Validity

All prices quoted are valid for thirty (30) days from the date of the quote, unless otherwise stated. After this period, prices are subject to change without notice.

Payment Terms

  • Invoices: Payment for invoices is due upon receipt unless other terms have been agreed upon in writing. Orders will not be processed until payment is received unless otherwise specified with the Customer in writing.
  • If an invoice mistakenly states "Net 30" terms, payment is still due upon receipt unless explicitly confirmed in writing.
  • A 2.99% processing fee will be added to all credit card payments. By accepting an estimate, issuing a PO, or submitting payment via credit card, the Customer acknowledges and accepts this fee.
  • Estimates and POs: For estimates and purchase orders, payment terms remain Net 30 unless otherwise specified in the agreement. Late payments may incur a 1.5% monthly fee.

Delivery

Delivery dates are estimates only and are subject to change. We will make every effort to deliver on time but shall not be liable for any delays caused by circumstances beyond our control, including but not limited to manufacturer or distributor delays (e.g., TD SYNNEX) or shipping carriers.

  • Manufacturer’s Warranty: Products sold are covered by the manufacturer’s standard warranty terms. We are a reseller and do not offer any additional warranties beyond those provided by the manufacturer. Any warranty claims should be directed to the manufacturer.
  • Warranty Period: The warranty period begins on the date of delivery. Specific warranty periods and terms are as provided by the manufacturer and can be found in the product documentation.

Returns and Refunds

  • No Direct Returns: As a facilitator of the sale, we do not take physical possession of the items sold and therefore do not accept returns or provide refunds.
  • Manufacturer's Return Policy: Customers should refer to the manufacturer’s return policy for any return or refund requests. We will assist in facilitating communication between the Customer and the manufacturer but are not responsible for the return process or any associated costs.

Distributor Issues

  • Responsibility: We are not liable for any issues arising from actions or inactions of the distributor (e.g., TD SYNNEX). This includes but is not limited to delays, errors, defects, or any other problems associated with the distribution of the products.
  • Assistance: We will assist in facilitating communication between the Customer and the distributor to resolve any issues but do not assume responsibility for their resolution.

Limitation of Liability

Our liability for any claim arising out of or in connection with this quote and any subsequent agreement shall not exceed the total amount paid by the Customer for the products or services in question. We are not responsible for any indirect, incidental, or consequential damages.

Confidentiality

Both parties agree to keep confidential any proprietary information received from the other party that is marked as confidential or would reasonably be considered confidential.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the state in which our company is headquartered, without regard to its conflict of law principles.

Entire Agreement

This quote, together with any Purchase Order issued in connection with it, constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.

Amendments

Any amendments or modifications to these terms must be in writing and signed by both parties.

Acceptance

The Customer’s acceptance of an estimate, submission of a Purchase Order, agreement to make payment, or actual payment in response to this quote shall constitute acceptance of these terms and conditions. If paying via credit card, the Customer acknowledges and accepts the 2.99% processing fee. No additional or different terms or conditions proposed by the Customer will be binding unless expressly agreed to in writing.

Manufacturer's Responsibility

Any issues related to product defects or malfunctions should be addressed directly with the manufacturer. We will assist in facilitating communication between the Customer and the manufacturer but are not liable for the resolution of such issues.

Product Use and Compliance

The Customer is responsible for ensuring that the use of the products complies with all applicable laws and regulations. We are not liable for any misuse of the products or non-compliance with regulatory requirements.

Role as Facilitator

Our role is limited to facilitating the sale of products between the manufacturer and the Customer. We do not take physical possession of the products and are not responsible for the products’ condition, performance, or suitability for the Customer’s intended use.

Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, strikes, labor disputes, government regulations, supply chain disruptions, or other force majeure events.
